Frequenoir Standard License Terms
These Standard License Terms apply to each track or album purchased through Frequenoir. The version identified in the order confirmation governs that purchase.
1. Definitions
- “Licensed Track” means any audio file purchased through Frequenoir.
- “License Holder” means the individual purchaser or, where the purchase is made on behalf of a business and that business is identified in the purchase information, that business.
- “Original Files” means the audio files delivered upon purchase.
- “Finished Project” means a synchronized audio-visual work, podcast, narrated program, or other production in which the Licensed Track is combined with other content and is not provided or made available as a standalone, reusable audio asset.
2. Standard License Grant
Upon purchase, and subject to continued compliance with these Terms, the License Holder receives a non-exclusive, worldwide, perpetual, non-transferable license to:
- use the Licensed Track for personal and commercial purposes;
- use it in monetized content, including ad-supported platforms such as YouTube;
- use it in client work delivered only as part of a Finished Project;
- use it in online paid advertising;
- reuse it across unlimited separate projects by the same License Holder; and
- keep lawfully completed Finished Projects published indefinitely.
No attribution is required under the Standard License.
To the extent that copyright or other proprietary rights subsist in the Licensed Track, those rights remain with Frequenoir or the applicable rights holder. The purchase grants a contractual license to use the Licensed Track and does not transfer ownership, copyright, or any other proprietary right to the License Holder.
Frequenoir represents that it has the rights or authority reasonably necessary to grant the usage rights expressly described in this License.
Because some Licensed Tracks may contain elements generated or assisted by automated or generative-AI tools, Frequenoir does not warrant that a Licensed Track will never be alleged by a third party to be similar to, or to infringe, third-party copyrighted material or other protected material. Nothing in this paragraph excludes or limits any responsibility of Frequenoir arising from fraud, wilful misconduct, gross negligence, knowing infringement, or any liability that cannot lawfully be excluded or limited.
If Frequenoir becomes aware of a credible third-party claim that a Licensed Track infringes third-party rights, Frequenoir may suspend further licensing of the affected track and, where reasonably necessary, require the License Holder to discontinue new uses of that track. Frequenoir will provide reasonable notice and reasonable assistance where practicable. Any refund, replacement, termination, or continued-use rights will be determined under these Terms and applicable mandatory law.
2.1 AI-Assisted Production
Some Licensed Tracks may be created, in whole or in part, with the assistance of generative artificial intelligence or other automated production tools. Frequenoir may select, arrange, edit, mix, master, or otherwise modify such material as part of its production process.
The use of generative AI does not, by itself, determine whether copyright or other proprietary rights subsist in a Licensed Track. To the extent that any such rights subsist, nothing in these Terms transfers ownership of those rights to the License Holder.
3. Restrictions
The License Holder may not:
- resell or redistribute the Licensed Track as a standalone audio product;
- include it in another music library, template pack, or sample pack;
- release it, in whole or remixed, as independent music;
- register it with Content ID or any similar rights-management system;
- claim copyright or ownership of it; or
- use it in connection with unlawful, defamatory, or infringing content.
- share, transfer, or distribute the Original Files to any third party, including clients or collaborators, except that the License Holder may provide the Original Files to a contractor or service provider solely to the extent reasonably necessary to create a Finished Project for the License Holder, provided that such person may not retain, reuse, distribute, sublicense, or independently exploit the Original Files and must delete all copies upon completion of the relevant work;
4. Company Use and Designated User
A company License Holder may replace its designated user as needed, provided that only one individual at a time may access and use the Original Files and any former designated user permanently deletes all copies in that person’s possession. Frequenoir does not track or approve designated-user changes.
5. Extended or Custom Licensing
The following uses require a separate written license available on request:
- use by multiple individuals with simultaneous access to the Original Files;
- television or radio broadcast;
- theatrical release or OTT distribution;
- games, apps, or software;
- television, radio, cinema, or out-of-home advertising; and
- any use outside the scope of the Standard License.
6. Delivery and Digital Content Consent
Each purchased track may initially be downloaded up to 15 times. This is a technical delivery limit and does not limit the scope or duration of a valid Standard License. If the limit is reached because of a technical failure or another reasonable circumstance, the License Holder may contact Frequenoir for reasonable assistance or restoration of access, subject to purchase verification.
Where required by applicable law, digital delivery will begin during the applicable withdrawal period only after the purchaser has expressly requested immediate delivery and acknowledged that the statutory right of withdrawal may be restricted once delivery begins.
Full-length evaluation streams are made available before purchase. Evaluation access does not grant download, production, synchronization, or other licensed-use rights.
7. Refunds and Cancellations
- Before delivery begins: The purchaser may exercise any withdrawal or cancellation right available under applicable law. A valid cancellation ends the associated license.
- After delivery begins: Where Frequenoir has provided the required notice and evaluation access and obtained any request, acknowledgement, or consent required for immediate digital delivery, a change-of-mind cancellation may no longer be available once delivery begins.
- Defect or delivery failure: Frequenoir will provide a correct working file or restore access within a reasonable time. If the issue cannot reasonably be remedied, the affected purchase will be refunded and its license will end. Non-waivable rights remain unaffected.
- Verified duplicate purchase: Frequenoir will refund the duplicate order after verification. The license under the remaining valid order continues.
Fraud, an unauthorized chargeback or payment reversal, or a material breach may terminate the affected License. If the breach can reasonably be cured, Frequenoir will provide a reasonable opportunity to cure it before termination, unless immediate termination is reasonably necessary because of fraud, payment reversal, infringement, or other material harm. Upon termination, the License Holder must stop further use and delete the Original Files.
Unless another valid license remains in effect, a refund or termination prohibits any new use of the Licensed Track. If a refund results from a defect or another circumstance not caused by fraud, chargeback, payment reversal, material breach, or a statutory withdrawal requiring use to cease, a Finished Project lawfully completed and published before the refund may remain available in its existing form. It may not be edited, re-uploaded, redistributed, repurposed, or used anew. Where termination results from fraud, chargeback, payment reversal, material breach, or applicable law requiring use to cease, the License Holder must cease use, including in previously published Finished Projects, to the extent permitted or required by law.
8. Content ID and Rights-Management Disputes
Frequenoir intentionally does not register Licensed Tracks with Content ID or similar rights-management systems so that License Holders may use them in monetized content without claims initiated by Frequenoir. Because the Standard License is non-exclusive, a License Holder may not register a Licensed Track with Content ID or any similar system.
If a License Holder receives a third-party copyright, Content ID, or similar rights-management claim relating to a Licensed Track, the License Holder may contact Frequenoir with the order number and affected content URL. Frequenoir will provide reasonable verification assistance but cannot guarantee the outcome or processing time of an independent third-party platform.
9. License Record
The order confirmation email serves as the purchaser’s record of the Standard License for that purchase. It should identify the License Holder, order number and date, purchased item and code, applicable license name and version, and any recorded immediate-delivery acknowledgement. No separate PDF certificate is issued unless Frequenoir states otherwise.
10. Liability
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, personal injury, breach of a non-waivable statutory duty, or any other liability that cannot lawfully be excluded or limited. Subject to the foregoing and to the fullest extent permitted by mandatory law, each party is responsible for losses that are the direct and reasonably foreseeable result of its breach. Any exclusion or limitation applies only to the extent permitted by mandatory law and does not limit non-waivable consumer rights or remedies. Subject to the foregoing and to the fullest extent permitted by mandatory law, Frequenoir’s aggregate liability arising out of or relating to a particular purchase shall not exceed five (5) times the amount paid for the affected Licensed Track.
11. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Korea, without depriving a consumer of mandatory protections available under the law that applies to that consumer. The parties are encouraged, but not required, to first try to resolve a dispute through good-faith customer support or mediation.
For a consumer dispute, jurisdiction is determined by mandatory law, including the court having jurisdiction over the consumer’s address or residence where the Korean Electronic Commerce Act applies. In any other case, the competent courts of the Republic of Korea have jurisdiction.
12. Severability and Notices
If any provision is found unenforceable, the remaining provisions continue in effect. Notices may be sent to the contact address below or to the email address associated with the License Holder’s order.
13. Changes to These Terms
We may update these Terms for legal, security, operational, or service changes. The updated version and effective date will be posted and advance notice will be given where required. A purchase remains governed by the license version recorded for that order.
