Frequenoir Terms of Use

Version: v1.0 · Effective date: October 13, 2026 · Last updated: October 11, 2026

These Terms of Use ("Terms") govern access to and use of the Frequenoir website, catalog, previews, accounts, selections, project rooms, shared listening links, support functions, and related services operated by Layered Diary ("Frequenoir," "we," "us," or "our").

A purchase and use of music is additionally governed by the Standard License Terms identified in the applicable order confirmation. If these Terms conflict with the Standard License Terms about licensed music use, the Standard License Terms control for that issue.

1. Agreement to these Terms

By accessing or using the service, you agree to these Terms and the Privacy Policy. If you purchase digital content, you also agree to the checkout disclosures, Refund Policy, and Standard License Terms in effect for that order. If you act for an organization, you confirm that you have authority to bind it.

If you do not agree, do not use the service.

2. Eligibility and Accounts

You must be legally capable of entering into the relevant agreement. A minor may use the service only with any consent required from a parent or legal guardian.

When accounts are enabled, provide accurate information, keep credentials confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity through your account except to the extent caused by our breach of applicable obligations. We may require reasonable verification before changing account or order details.

3. Catalog, Previews, and Service Information

Frequenoir makes full-length evaluation streams available before purchase. The words “preview” and “listening” describe evaluation access, not a 30-second limit. Streaming a track, in part or in full, does not grant production, synchronization, download, redistribution, training, sampling, or other exploitation rights.

We try to keep titles, descriptions, availability, prices, currency, tax information, compatibility information, and technical details accurate. We may correct a clear error before fulfillment and will provide any remedy required by law. Catalog availability may change.

4. Orders, Payment, and Delivery

Purchased files are delivered after successful payment through FileFlare or the stated digital-delivery provider. Each purchased track may initially be downloaded up to 15 times. This is a technical delivery limit and does not limit the scope or duration of a valid Standard License.

The Shopify order confirmation serves as the purchaser’s record of the applicable license and identifies the License Holder, order, product, and governing license version. No separate PDF certificate is issued unless Frequenoir states otherwise.

Where required by law, immediate digital delivery begins only after the required notice, request, acknowledgement, or consent is recorded. Refunds and cancellation rights are described in the Refund Policy and mandatory law.

5. Music Licenses

Buying a track or album does not transfer copyright or ownership. It grants the contractual rights stated in the governing Standard License Terms or a separately signed Custom License.

An album purchase covers only the tracks identified in the relevant order record. Uses outside the Standard License, including games, apps, certain broadcast, theatrical, OTT, out-of-home, and multi-user uses, require prior written agreement.

Do not register Frequenoir music with Content ID or another rights-management system, claim ownership, release it as standalone music, or redistribute Original Files except as expressly permitted by the governing license.

6. AI-Assisted Production

Some catalog tracks are created in whole or in part, with the assistance of generative artificial intelligence or other automated production tools. Frequenoir may select, arrange, edit, mix, master, or otherwise modify such material as part of its production process.

The applicable music license governs the rights granted in each Licensed Track, including any track created or produced with the assistance of generative AI.

7. Acceptable Use

You may not:

Reasonable indexing by public search engines in accordance with our technical controls is not prohibited.

8. Selections, Project Rooms, and Shared Links

Until account persistence is enabled, selections, queues, and preview carts may be stored only in your browser and can be lost when storage is cleared. We do not promise permanent storage or backup of this local state.

A shared listening link may encode a list or order of track codes and may be accessible to anyone who receives it. You are responsible for choosing recipients. Shared listening does not grant a license or permission to download, redistribute, or use the music.

9. Intellectual Property

The service, brand, visual design, text, catalog organization, artwork, software, previews, and music are owned by or licensed to Layered Diary and are protected by applicable intellectual-property and other laws. Except for the limited rights expressly granted by these Terms or a music license, no rights are transferred.

If you believe content on the service infringes your rights, contact hello@frequenoir.com with sufficient information to identify the work, location, basis of the claim, and your authority.

10. Support and Custom Licenses

Support information is general operational guidance and does not amend the governing license. A Custom License request is an invitation to discuss terms, not a promise of availability, price, approval, or turnaround. A Custom License exists only when agreed in writing by authorized parties.

11. Third-Party Services

Shopify, PayPal or another payment provider, FileFlare or another fulfillment provider, hosting/CDN providers, and linked third-party platforms may apply their own terms and privacy notices. We are responsible for our obligations when selecting and using providers but do not control an independent third party’s platform decisions, including Content ID processing times or outcomes.

12. Suspension and Termination

We may restrict or suspend access when reasonably necessary to protect the service or users, investigate suspected fraud or infringement, comply with law, or respond to a material breach. Where appropriate, we will give notice and an opportunity to correct the issue.

Termination of website access does not by itself terminate a valid paid music license. A license may terminate only as stated in the governing Standard License Terms, Custom License, Refund Policy, or applicable law.

13. Disclaimers

To the maximum extent permitted by law, the service is provided on an “as available” basis. We do not promise uninterrupted or error-free operation, permanent availability of every feature, or a particular third-party platform outcome. Nothing in these Terms excludes warranties, remedies, or liabilities that cannot legally be excluded.

14. Liability

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, personal injury, breach of a non-waivable statutory duty, or any other liability that cannot lawfully be excluded or limited.

Subject to the foregoing and to the fullest extent permitted by mandatory law, each party is responsible for losses that are the direct and reasonably foreseeable result of its breach. We are not responsible for loss caused solely by the customer’s device, network, unauthorized account use, or an independent third-party service outside our reasonable control, except to the extent the loss was caused or worsened by our breach of a legal duty.

Any exclusion or limitation applies only to the extent permitted by mandatory law and does not limit non-waivable consumer rights or remedies.

For liability arising out of or relating to the purchase or licensed use of a track or album, any applicable limitation of liability set out in the governing Standard License Terms or Custom License also applies.

15. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Korea, without depriving a consumer of mandatory protections available under the law that applies to that consumer. The parties are encouraged, but not required, to first try to resolve a dispute by contacting hello@frequenoir.com. A consumer may also seek help through an applicable consumer-dispute mediation body.

For a consumer dispute, jurisdiction is determined by mandatory law, including the court having jurisdiction over the consumer’s address or residence where the Korean Electronic Commerce Act applies. In any other case, the competent courts of the Republic of Korea have jurisdiction.

16. Changes

We may update these Terms for legal, security, operational, or service changes. The updated version and effective date will be posted and advance notice will be given where required. A purchase remains governed by the license version recorded for that order.
